Terms of Service
Welcome to Hummingbird API. These Terms of Service ("Terms") form a legally binding agreement between you ("Customer" or "you") and MulinBox Labs LLC, a company organized under State of Wyoming, United States, with a registered address at 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("we", "us", "our"), governing your use of Hummingbird API, the multi-model AI gateway provided at fnuu.net (the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
1. The Service
The Service is an aggregating AI gateway that routes your requests, through a unified API compatible with the OpenAI, Anthropic, and Gemini protocols, to artificial-intelligence models operated by third-party model providers. The models accessed through the Service are owned and operated by their respective providers. We do not develop or train the underlying foundation models; we provide access, routing, billing, and management.
2. Eligibility and Accounts
An account is required. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Acceptable Use
You must comply with our Usage Policy (AUP), which is incorporated into these Terms by reference, and with the applicable usage policies of the model providers accessed through the Service. We may suspend or terminate access for suspected violations.
4. Customer Data; Inputs and Outputs
"Inputs" are the content you submit to the Service; "Outputs" are the content the models return. As between you and us, you retain all rights to your Inputs and Outputs. You grant us a limited license to use them solely as necessary to provide, maintain, and improve the Service, including transmitting Inputs to the relevant model provider for processing.
We do not use your Inputs or Outputs to train any model. Note that once transmitted to a third-party model provider, processing is also subject to that provider's terms.
5. Fees, Credits, and Payment
The Service is billed on a usage basis. You may prepay to obtain account credit, which is debited in real time as you consume the Service. Applicable prices and rates are as displayed in the console. Except as required by applicable law or our Refund Policy, consumed credit is non-refundable. You agree not to initiate fraudulent chargebacks; abusive chargebacks may result in immediate termination. You are responsible for any applicable taxes.
6. Third-Party Models and Availability
The Service depends on third-party model providers and infrastructure. Such providers may change, restrict, or discontinue their models, and we may adjust the available model catalog accordingly. We use commercially reasonable efforts to keep the Service available but do not guarantee that any particular model will remain available, uninterrupted, or error-free.
7. Intellectual Property
All rights in the Service and its software, interfaces, trademarks, and documentation (excluding Inputs and Outputs) belong to us or our licensors. You may not copy, modify, reverse engineer, or create derivative works without our prior written consent.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy, reliability, or suitability of Outputs; you must evaluate Outputs and use them at your own risk, retaining human oversight for high-stakes use cases.
9. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, data, or goodwill). Our aggregate liability under these Terms is limited to the amounts you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, and costs (including reasonable attorneys' fees) arising from your breach of these Terms or the Usage Policy, your misuse of the Service, or your infringement of any third-party rights.
11. Term and Termination
These Terms apply from your first use of the Service until your account is terminated. You may stop using and close your account at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your rights to use the Service cease; provisions that by their nature should survive (fees, disclaimers, limitation of liability, indemnity, dispute resolution) continue in effect.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Except for disputes that may be resolved in small-claims court, disputes arising from these Terms or the Service shall be resolved by binding arbitration seated in Wyoming. To the extent permitted by law, the parties waive any right to a class action.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Service or your contact email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
14. Miscellaneous
These Terms, together with the policies they reference, constitute the entire agreement regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent.
